In January 2017, the board of directors declared the first quarter 2017 cash dividend of $.43 per share. The

dividend is payable on March 1, 2017 to shareholders of record at the close of business on February 15, 2017. The

declaration and payment of future dividends to holders of our common stock will be at the discretion of our board of

directors and will depend upon many factors, including our financial condition, earnings, capital requirements of our

operating subsidiaries, legal requirements, regulatory constraints and other factors as the board of directors deems

relevant. There can be no assurance that we will declare and pay any additional or future dividends. For information
