SUBSIDIARY UNDERTAKINGS
The principal subsidiary undertakings listed are those which in the opinion of the directors principally affect the figures shown in the financial statements. A full list
of subsidiary undertakings will be included in the Annual Return of IMI plc to be filed with the Registrar of Companies during 2015. Except where indicated below,
the undertakings are subsidiaries incorporated in the United Kingdom and the share capital consists of ordinary shares only. The principal country in which each
subsidiary operates is the country of incorporation. IMI plc’s effective interest in the undertakings listed is 100%, except where indicated, and is held in each case
by a subsidiary undertaking, except for IMI Group Ltd which is held directly by IMI plc.
The Group has an interest in a partnership, the IMI Scottish Limited Partnership, which is fully consolidated into these Group accounts. The Group has taken
advantage of the exemption conferred by regulation 7 of the Partnerships (Accounts) Regulations 2008 and has, therefore, not appended the accounts of this
qualifying partnership to these accounts. Separate accounts for the partnership are not required to be and have not been filed at Companies House.
